1. Acceptance of Terms
By registering for, accessing, or using True North Mail (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service. These Terms apply to all users, including individual founders and business entities.
2. Description of Service
True North Mail is a business email hosting platform for founders. The Service allows you to send, receive, and store email via custom domains. Pricing is based on storage usage, not the number of users (seats). Email is processed via Amazon Web Services Simple Email Service (AWS SES), with data stored in DynamoDB and Amazon S3.
3. Acceptable Use Policy
3.1 Prohibited Conduct
You may not use True North Mail to:
- Send unsolicited bulk email (spam), commercial messages without recipient consent, or phishing emails
- Distribute malware, viruses, ransomware, or any malicious code
- Impersonate any person or entity, or forge email headers or sender identity
- Engage in harassment, threats, or abuse toward any individual
- Violate any applicable local, state, national, or international law or regulation
- Infringe the intellectual property rights of any third party
- Circumvent rate limits, security controls, or access restrictions
- Resell, sublicense, or provide the Service to third parties without our written consent
- Use the Service in any manner that disrupts or degrades our infrastructure or other users
3.2 Email Sending Standards
- All bulk or commercial email must comply with CAN-SPAM (US), CASL (Canada), and applicable anti-spam laws
- You must honor unsubscribe requests within 10 business days
- You must maintain sender reputation; sustained bounce rates exceeding 10% or complaint rates exceeding 0.3% may result in sending suspension
- You are responsible for the content of all email sent through your account
3.3 Enforcement
We reserve the right to investigate suspected violations. We may suspend sending privileges or terminate accounts without prior notice where immediate action is required to protect the integrity of the Service or other users.
4. Account Registration
- You must provide accurate, current, and complete registration information
- Accounts are for your use only; you may not share credentials
- You are responsible for all activity under your account
- Notify us immediately at security@truenorth.email if you suspect unauthorized access
- We may require identity verification at our discretion
5. Service Availability and Uptime
- We target 99.9% monthly uptime for paid accounts but do not guarantee uninterrupted service
- Scheduled maintenance will be announced via email or status page with reasonable advance notice
- We are not liable for downtime caused by AWS infrastructure outages, internet backbone failures, DDoS attacks, or force majeure events
- Your sole remedy for sustained downtime exceeding our SLA is a pro-rated service credit, not a refund, as detailed in your plan terms
6. Billing and Payments
- Fees are based on storage consumption as set forth on our pricing page
- Payments are processed by Stripe. By providing payment information, you authorize recurring charges
- Subscriptions automatically renew at the end of each billing cycle
- You may cancel at any time; cancellation takes effect at the end of the current billing period
- We reserve the right to change pricing with 30 days notice. Continued use after notice constitutes acceptance
- Disputes must be raised with support@truenorth.email within 7 days of the charge
- Refunds are issued at our sole discretion; we do not offer refunds for partial months unless required by law
7. Account Termination
7.1 Termination by You
You may close your account at any time via account settings or by contacting support. Upon termination:
- Access is removed at end of billing period
- Your data is retained for 30 days, then permanently deleted
- You are responsible for exporting data before cancellation
7.2 Termination by Us
We may suspend or terminate your account immediately, with or without notice, for:
- Material breach of these Terms or the Acceptable Use Policy
- Non-payment of fees after a 7-day cure period
- Fraudulent, illegal, or abusive activity
- Actions that endanger the security, integrity, or reputation of the Service
- Regulatory or legal requirements
Where practicable, we will provide 14 days notice for non-urgent terminations and an opportunity to cure the breach.
8. Intellectual Property
- True North Mail and its licensors retain all rights, title, and interest in the Service, software, trademarks, and documentation
- You retain full ownership of all email content and data you transmit through the Service
- You grant True North Mail a limited, non-exclusive license to process, store, and transmit your content solely as necessary to provide the Service
- You may not reverse-engineer, decompile, or copy any part of the Service
9. Privacy
Your use of the Service is governed by our Privacy Policy, incorporated herein by reference. By using the Service you consent to our data practices as described therein.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
- IN NO EVENT SHALL TRUENORTH MAIL, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
- THIS INCLUDES, WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES
- OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD
- SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS OUR LIABILITY IS LIMITED TO THE MINIMUM PERMITTED BY LAW
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ANY EMAILS WILL BE DELIVERED SUCCESSFULLY.
12. Indemnification
You agree to defend, indemnify, and hold harmless True North Mail and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) email content sent through your account.
13. Governing Law and Dispute Resolution
- These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles
- Arbitration: Any dispute arising from these Terms or your use of the Service shall be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules
- Class Action Waiver: You waive any right to bring claims as a class, collective, or representative action. Arbitration will be conducted on an individual basis only
- Small Claims Exception: Either party may bring claims in small claims court if the claim qualifies
- Injunctive Relief: Nothing herein prevents either party from seeking injunctive relief in court for IP infringement or confidentiality breaches
- Venue: For any matters not subject to arbitration, you consent to exclusive jurisdiction in the state and federal courts of Delaware
14. Changes to These Terms
- We may update these Terms at any time
- For material changes, we will notify you via the email address on your account at least 14 days before the changes take effect
- Minor changes (e.g., typo corrections, clarifications that do not affect your rights) may be made without notice
- Continued use of the Service after the effective date constitutes acceptance of the revised Terms
- If you do not agree with the changes, you must cancel your account before the effective date
15. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and True North Mail
- Severability: If any provision is held unenforceable, it shall be modified to the minimum extent necessary, and remaining provisions continue in full force
- No Waiver: Failure to enforce any provision is not a waiver of our right to enforce it in the future
- Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets
- Force Majeure: Neither party is liable for failure to perform due to causes beyond their reasonable control
- Notices: Legal notices to us must be sent to legal@truenorth.email
16. GDPR Compliance
True North Mail complies with the General Data Protection Regulation (GDPR) for users in the European Economic Area. Our lawful bases for processing personal data include contract performance, legitimate interests, and consent where applicable.
